I. FactoryLink Platform Terms of Service

1. General Provisions

1.1 Parties and Scope of Application
This Terms of Service is a legally binding service agreement between FACTORY LINK Global Limited (hereinafter referred to as the “Platform”) and all users (including domestic factory suppliers and overseas buyers, hereinafter collectively referred to as “Users”) who register, access, and use the FactoryLink platform (an online cross-border e-commerce platform connecting Chinese factories).

These terms apply to all services of the platform, including but not limited to factory information display, supply and demand matching, cross-border inquiries, order matching, performance tracking, and supporting value-added services. By accessing, registering, and using the platform, users are deemed to have voluntarily accepted all the constraints of these terms. Users who do not agree to the terms should not use this platform.

1.2 Business Positioning
FactoryLink is a neutral cross-border B2B platform. Its core function is to connect Chinese physical manufacturing factories with global purchasing customers online. It only provides information matching, supply and demand matching, transaction assistance, and performance monitoring technical services. It does not directly participate in physical transaction links such as product production, goods sales, import and export customs declaration, and logistics transportation. All rights and responsibilities of physical transactions are borne by the supply and demand parties themselves.

1.3 Agreement Effectiveness and Revision This agreement shall become effective immediately upon the user’s completion of account registration, selection of agreement, and use of any service on the platform. The platform reserves the right to update and revise these terms based on business iterations and legal regulations. Revised terms will be published on the platform’s official website and shall take effect immediately upon publication. Continued use of the platform by the user constitutes acceptance of the latest terms.

2. User Registration and Account Guidelines

2.1 Account Entity Requirements

– Suppliers (Chinese Factories): Must be legally registered domestic manufacturers, providing authentic information such as business licenses, production qualifications, business scope, and factory details. Individuals falsely registering or registering under a factory name are prohibited.

– Buyers: Can be overseas companies or cross-border trading entities, providing authentic entity information and contact details. Malicious registration and mass registration of multiple accounts to disrupt platform order are prohibited.

2.2 Account Usage Responsibilities
Users must ensure that their registration information is true, valid, and complete. Any changes to information must be updated on the platform within 3 business days. Users are responsible for safeguarding their account passwords. All inquiries, connections, and order confirmations initiated through the account are considered the user’s actions, and the user shall bear all legal liabilities arising therefrom.

The platform prohibits the rental, sale, and sharing of accounts. Any such activity will result in immediate account freezing and banning.

2.3 Account Cancellation
Users may apply for account cancellation. Before cancellation, all platform fees must be settled, all unfinished orders terminated, and all transaction disputes resolved. After an account is cancelled, the platform will cease providing services, but legally retained transaction and compliance records will not be deleted.

3. Platform Service Content and Responsibilities

3.1 Core Platform Services

1. Factory Resource Display: Verify compliant Chinese factories joining the platform, showcasing their production capacity, product categories, production qualifications, delivery capabilities, and other authentic information;

2. Cross-border Supply and Demand Matching: Intelligently match buyers with corresponding Chinese production factories based on their needs, and push precise matching resources;

3. Online Inquiry and Connection: Provide online channels for consultation, quotation, sample communication, order negotiation, and contract connection;

4. Transaction Fulfillment Supervision: Record transaction processes, track order fulfillment progress, and assist both suppliers and buyers in verifying fulfillment information;

5. Compliance Technical Services: Basic services such as platform system maintenance, data storage, security protection, and public disclosure of cross-border transaction rules.

3.2 Platform Disclaimer

1. The platform only facilitates information matching and does not guarantee the production capacity, product quality, or delivery time of participating factories, nor does it guarantee the payment and fulfillment capabilities of buyers. The risks of physical transactions are to be assessed and borne by the supply and demand parties themselves.

2. The platform assumes no responsibility for disputes or losses arising from private transactions between supply and demand parties or transactions outside the platform’s processes.

3. The platform assumes no liability for compensation for temporary service interruptions or data delays caused by network failures, operator issues, or force majeure.

3.3 Prohibited User Behaviors

1. Uploading false factory qualifications, false product parameters, or false production capacity information to mislead potential clients.

2. Malicious quoting, using low-price tactics to attract customers and then rejecting orders, breaching contracts without cause, maliciously delaying payments, or fraudulently obtaining samples.

3. Publishing information on illegal, infringing, or prohibited products, engaging in smuggling, infringement, counterfeiting, or other illegal transactions.

4. Exploiting platform vulnerabilities for malicious arbitrage, harassing other users, or disseminating illegal or irregular information.

5. Any behavior that violates national import and export trade regulations or relevant cross-border e-commerce regulatory policies.

4. Fees and Settlement Rules

4.1 Platform Fee Types
Platform fees include basic onboarding service fees, targeted inquiry service fees, supply-demand matching value-added service fees, and homepage promotion exposure fees. All fee standards and package details are publicly disclosed on the platform.

4.2 Settlement and Payment
After selecting a paid service, users must pay the full amount according to the platform’s published standards. The corresponding service access will only be activated after payment is completed. Except for refundable scenarios explicitly stipulated in this policy, once a paid service is activated and resources have been matched and pushed, no refunds will be given.

4.3 Tax Responsibility
All platform fees are inclusive of tax. The platform is legally responsible for any corresponding taxes. Value-added tax, customs duties, import and export taxes, etc., incurred by users in offline physical transactions are to be paid by the supply and demand parties themselves in accordance with the law.

5. Agreement Termination and Penalties for Violations

5.1 If a user engages in any violation, the platform has the right to take penalties such as information removal, inquiry restriction, service suspension, account freezing, permanent ban, and removal of onboarding qualifications, depending on the severity of the violation.

5.2 In the event of serious violations by a user (false qualifications, fraudulent transactions, illegal operations), the platform has the right to unilaterally terminate the service, refuse to refund any service fees, and reserves the right to pursue the user’s legal liability and report the matter to regulatory authorities.

6. Dispute Resolution

Any disputes concerning the performance of this agreement or platform services shall be resolved amicably through negotiation between both parties. If negotiation fails, the dispute shall be submitted to the People’s Court at the location of the platform’s parent company, and shall be governed by the laws of the People’s Republic of China.
